Terms of Service

• You are at least 18 years old (or the age of majority in your jurisdiction).
• If you accept on behalf of an organization, you have authority to bind it.
• If you do not agree, do not use the Services.

RodiumAI provides:

• Access to AI models from third-party providers through a unified, OpenAI-compatible API at https://api.rodiumai.io/v1.
• A RODI credit system for purchasing and consuming AI capabilities (text, image, audio, and video modalities where available).
• Local payment options including Mobile Money and other African payment methods.
• A developer dashboard for API keys, billing, usage analytics, and team features.

Services are provided "as is" and "as available". We may modify, suspend, or discontinue features with reasonable notice where possible.

Registration requires accurate full name, email, country, and password. You must keep information current and protect your credentials. Notify us immediately at legal@rodiumai.io if you suspect unauthorized access.

We may suspend or terminate accounts with false, misleading, or fraudulent information.

4.1 Nature — RODI is an internal credit unit, not a currency or investment. It has no cash value outside the platform.

4.2 Purchases — RODI purchases are final and non-refundable except where law requires otherwise. Prices may be shown in local currencies; RodiumAI applies a platform margin on upstream provider costs.

4.3 Expiry — Credits do not expire while your account remains active. Future expiry policies would require at least thirty (30) days' notice.

4.4 Failed payments — We are not liable for failures caused by your bank, Mobile Money operator, or payment gateway. Contact your provider first, then legal@rodiumai.io.

4.5 Minimum recharge — Each recharge must credit at least five hundred (500) RODI, whether through automated checkout or manual submission. We may change this minimum with reasonable notice.

4.6 Fees and quotes — Aggregator and operator fees vary by payment method and country. We display an estimated RODI amount and applicable fees before you confirm. RodiumAI applies a platform margin on upstream AI provider costs in addition to payment processing fees.

4.7 Payment methods — (a) Instant recharge: you are redirected to FedaPay to complete Mobile Money payment; RODI is credited after we receive a confirmed webhook from the gateway. (b) Manual recharge (where offered): you transfer funds to the account shown, then submit sender name, transaction reference, and proof; RODI is credited only after RodiumAI validates your submission. Manual processing times are not guaranteed.

4.8 Manual recharge obligations — You must provide accurate sender details and genuine proof matching the stated amount and currency. False, altered, or misleading proofs constitute fraud and may result in immediate suspension without refund. We may reject submissions that do not match our records or minimum requirements.

4.9 Promo codes and referrals — Promotional and referral credits are non-monetary RODI grants, non-transferable, and may be revoked if we detect abuse. Each referee account may use a given referral program only once. Reward amounts follow the program rules in effect at the time credits are applied.

You must not use the Services to:

• Violate applicable law or third-party rights.
• Generate illegal, harmful, abusive, or exploitative content (including CSAM).
• Create malware, cyberweapons, or unauthorized access tools.
• Facilitate fraud, phishing, or identity theft.
• Submit false, forged, or misleading manual payment proofs or misrepresent payment sender identity.
• Circumvent security or abuse rate limits.
• Resell or redistribute the Services without written permission.

Violations may result in immediate suspension or termination without refund.

RodiumAI routes requests through OpenRouter, which forwards them to the underlying model provider (OpenAI, Anthropic, Google, DeepSeek, MiniMax, and others available in our catalogue).

You are solely responsible for your inputs and for complying with each provider's acceptable use rules. AI outputs are not professional legal, medical, or financial advice.

• The RodiumAI platform, brand, documentation, and technology remain our property.
• We grant you a limited, non-exclusive, revocable license to use the Services for personal or internal business purposes.
• You retain rights to content you create, subject to upstream provider terms.
• You may not copy, sell, or exploit the Services without written permission.

To the fullest extent permitted by law, the Services are provided without warranties. We are not liable for indirect, incidental, special, or consequential damages. Our aggregate liability for any claim shall not exceed the RODI credits you purchased in the three (3) months before the event giving rise to the claim.

You agree to indemnify RodiumAI and its team from claims arising from your misuse of the Services, your content, or your violation of law or third-party rights.

• The organization owner is responsible for all member activity.
• RODI transfers from owner to member are non-reversible once completed.
• Roles are owner and member; owners manage invitations and allocations.
• Owners must ensure members comply with these Terms.

Material changes will be notified by email at least fourteen (14) days before taking effect. Continued use constitutes acceptance. If you disagree, stop using the Services and request account deletion at legal@rodiumai.io.

We may suspend or terminate access for Terms violations, fraud, or non-payment. You may request termination at legal@rodiumai.io. Unused RODI is not refunded on voluntary termination except where required by law.

Because RodiumAI is not yet incorporated, these Terms are governed by principles of fairness and good faith. Disputes should first be addressed through negotiation at legal@rodiumai.io. When we register a legal entity, we will publish an updated governing law clause with notice.
